Abstract: Romalpa suppliers' proprietary claims over newly manufactured products and sub-sale proceeds have sometimes been characterised as registrable charges under company charges registration legislation and then struck down as void for non-registration. It has been suggested that the same approach ought to be applied to Quistclose trusts. This is a reply to that suggestion.
