Abstract: A cross-disciplinary work to help organizational theorists and other social scientists to understand corporate governance theories from the legalistsa?? point of view is long overdue. The principal contribution of this research is plugging this lacuna in management literature. This dissertation consists of three essays that explore the theoretical application of legal theories and models of corporation and corporate governance and provide empirical evidence to the importance of litigation in corporate governance.
